Job Title: Head of Legal Company Name: Worldbridge Group of Companies (WBG) Reporting Line: Chairman / Board of Directors Department: Group Legal Department Station: Phnom Penh Working Hours: Mon-Sat: 8:00am – 5:30pm (half a day for Saturday) KEY ACCOUNTABILITIES: • Review, analyze, and negotiate contracts, agreements, and legal documents to identify terms that protect the group’s interests. Ensure agreements, including JV contracts, align with company policies, legal standards, and business objectives. Highlight and address unfavorable terms while proposing revisions to safeguard the group’s benefits. • Collaborate with stakeholders to draft and negotiate JV agreements with potential partners, focusing on terms that maximize benefits for the group. Identify potential risks in JV agreements and propose mitigation strategies to protect the group’s financial and legal interests. Ensure clarity in roles, responsibilities, profit-sharing, and dispute resolution mechanisms within JV agreements. • Maintain oversight of all contracts, including JV agreements, ensuring compliance with agreed terms and deadlines.Track key milestones, such as performance obligations, renewal periods, and termination clauses. Develop templates and standardized terms for group-level agreements to ensure consistency. • Conduct audits of agreements and operations to ensure adherence to legal and regulatory requirements. Monitor the group’s compliance with JV obligations, identifying and addressing any areas of concern. • Assess potential legal and financial risks in contracts, particularly in JV agreements, and provide strategic advice to minimize exposure. Propose solutions to address unfavorable terms or clauses during negotiations. • Draft and update policies to guide the negotiation, approval, and execution of agreements, ensuring alignment with the group’s interests. Develop checklists and procedures for evaluating JV partners and agreements. • Conduct training for key stakeholders on negotiating favorable terms and understanding critical contract clauses. Raise awareness of the importance of protecting the group’s interests in all agreements. • Prepare comprehensive reports on JV negotiations, highlighting key terms, risks, and benefits. Maintain accurate and confidential records of all agreements and compliance activities. • Work closely with senior management, legal counsel, and other departments to ensure agreements align with the group’s strategic goals. Actively participate in JV discussions, providing legal insights and advice to enhance decision-making. • Ensure all agreements comply with local and international laws, especially for cross-border JVs. Manage communications with external legal advisors and regulatory bodies when required. JOB REQUIREMENTS: • Bachelor’s Degree in Law (LLB) or related field. Advanced degree or certifications in business law or compliance is a plus. • 3–5 years of experience in contract management, legal advisory, or compliance, with a focus on JV agreements. • Strong knowledge of commercial contracts, corporate law, and regulatory compliance. • Proficiency in contract management software and legal research tools. • Strong analytical and negotiation skills for reviewing and negotiating contracts, especially JV agreements. • Excellent verbal and written communication skills, with the ability to present legal concepts clearly to non-legal stakeholders. • Highly organized with the ability to manage multiple contracts and deadlines efficiently. • Proven ability to identify risks and mitigate legal issues in contracts and JV agreements. • Strong commitment to confidentiality and adherence to ethical standards in handling sensitive legal matters. • Fluency in English (written and spoken); additional languages are a plus.
