Description: AUPP’s Office of the Legal Counsel provides legal advice to senior management, faculties, departments and administrative units on all issues with legal implications affecting the University. AUPP’s Office of the Legal Counsel (1) advises on applicable laws and legal compliance requirements and addresses a wide range of legal and policy matters (from corporate and business laws, to employment law and intellectual property, and policy drafting and reviews); (2) assists in the preparation of and provides advice about University policies, procedures, legal documents or any matter having legal significance in the management and operations of the University; and (3) provides advice to the University about risk mitigation. The Assistant Legal Counsel will directly report to the University Head of Legal Counsel and assist in providing legal advice on existing and new laws and legal compliance requirements, reviewing and negotiating agreements, managing dispute resolution matters. The Assistant Legal Counsel will also assist on policy development matters and help manage the university administrative policies and procedures platform.


Job Responsibilities:
• Draft and review policies and procedures (including guidelines and standards), binding contracts (employment and consultancy agreements, partnership agreements with external stakeholders, and lease agreements), and Memorandums of Understanding as required for the Head of Legal Counsel’s review.
• Regularly research and analyze laws and regulations to keep updated with legal developments. Assist in conducting legal research and analysis and preparing written and verbal opinions for Head of Legal Counsel as needed.
• Respond to legal issues as assigned including development of legal strategies and solutions.
• Communicate legal and policy advice to various stakeholders in the University as needed.
• Negotiate agreement terms involving legal issues or transactions on behalf of the University and assisting Head of Legal Counsel. Liaise with related Departments within the University, such as Finance Department and Academic Affairs division, to finalize deal terms and conditions.
• Collaborate with other university staff on the review of existing policies and procedures and drafting of new policies, consulting with various parties regarding risks and gaps of policies, conducting research on policies, and suggest recommendations.
• Manage the shared platform for retention of legal documents and policy documents.
• Regularly assist in the review of existing templates for legal documents and propose revisions to templates as necessary.
• Maintain professional growth and development through seminars, workshops, and professional affiliations to keep abreast of latest developments in college and university law and in other related areas.
• Perform miscellaneous job-related duties as assigned.
• Represent AUPP brand with dignity and enthusiasm. Participate in campus committees and functions as required.
• Conduct limited business travel as appropriate.

Qualifications:
• Required bachelor’s degree in law or law-related discipline.
• A minimum of two (2) years of legal experience in law firm or in-house.
• Strong English and Khmer skills, oral and written required.
• High level of attention to detail.
• Ability to draft various types of documents and letters clearly and succinctly.
• Excellent standard of oral English and Khmer with ability to effectively participate in meetings and negotiations. Ability to give and receive constructive feedback.
• Ability to understand complex legal issues and provide practical advice in the context of business operations.
• Strong team ethic; able to work effectively and collaboratively with individuals at all levels within the organization.
• Positive attitude; high degree of integrity and professionalism.
• Ability to plan, organize and prioritize work and time effectively to adapt to changing priorities.
• Problem solving skills, ability to find creative solutions and to ensure that any issues are dealt with in the best interests of the organization.
• Familiarity with education sector and/or policy development.
